Terms of Service

1. Agreement to These Terms
These Terms of Service ("Terms") are a legal agreement between you and Happy Cactus Solutions, LLC ("Happy Cactus," "we," "our," or "us") governing your access to and use of the Alpacca mobile and web applications and related services (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Alpacca helps small and medium-sized organizations stay organized — managing clients, vendors, assets, scheduling, tasks, billing, messaging, and organization membership. We may add, change, or remove features over time.
3. Eligibility and Accounts
- You must be at least 13 years old to create an account. If you are under the age of majority in your jurisdiction (typically 18), you may use Alpacca only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use of the Service, including any purchases.
- You are responsible for the information you provide and for keeping your login credentials secure.
- You are responsible for all activity that occurs under your account.
4. Organizations, Roles, and Members
The Service is organized around "organizations." The member who creates or pays for an organization may invite others and assign roles. Permissions and access to data within an organization are governed by these roles. If you join an organization created by someone else, the organization's owner or administrators may manage, restrict, or remove your access to that organization's data.
5. Purchases, Plans, and Billing
Paid access to an organization is sold as a plan tied to that organization. You may purchase through the following channels:
- Mobile app stores — purchases made in our iOS or Android apps are processed by Apple or Google under their terms. Pricing, billing, and refunds for those purchases are subject to the applicable store's policies.
- Web checkout — purchases made through our website are processed by Paddle.com Market Limited ("Paddle"), which acts as the merchant of record (authorized reseller) for those transactions. When you buy through the web, your order is with Paddle, and Paddle handles payment, billing, applicable taxes, and receipts. Paddle's Buyer Terms also apply to those purchases.
Current pricing is shown on our Pricing page. Prices are subject to change; the price in effect at the time of your purchase applies to that purchase. You are responsible for any taxes not collected on our behalf by the store or Paddle.
6. Plan Duration and Renewals
Plans are one-time purchases that grant access for a fixed period — one, three, or twelve months. They do not renew automatically. When your period ends, paid access simply stops unless you purchase another period, so you are only ever charged when you choose to buy. Because nothing renews on its own, there is no recurring subscription to cancel. Refund eligibility is described in our Refund Policy.
7. Acceptable Use
You agree not to: use the Service unlawfully or to violate the rights of others; upload content that is illegal, infringing, harassing, or harmful; attempt to breach, disrupt, or reverse-engineer the Service; resell or misrepresent the Service; or use it to send spam or malware. We may suspend or terminate accounts that violate these Terms.
8. Your Content
You retain ownership of the content you and your organization create in the Service. You grant us a limited license to host, store, process, and display that content solely to operate and improve the Service. You are responsible for having the necessary rights to the content you submit and for how your organization uses shared content.
9. Third-Party Services
The Service relies on third parties (including Google Firebase, the Apple App Store, Google Play, Paddle, and cloud hosting providers). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.
10. Intellectual Property
The Service, including its software, design, and branding, is owned by Happy Cactus Solutions, LLC and protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you.
11. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the fullest extent permitted by law, Happy Cactus Solutions, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us (or paid Paddle for the relevant purchase) in the twelve months before the claim arose.
13. Indemnification
You agree to indemnify and hold harmless Happy Cactus Solutions, LLC from claims, losses, and expenses arising out of your misuse of the Service or your violation of these Terms or applicable law.
14. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Provisions that by their nature should survive termination (such as ownership, disclaimers, and limitation of liability) will survive.
15. Governing Law
These Terms are governed by the laws of the State of Minnesota, United States, without regard to its conflict-of-laws rules. Nothing in these Terms limits any mandatory consumer-protection rights you may have under the laws of your country of residence.
16. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will revise the "Last updated" date above and post the new version here. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
